Can a foreigner open a company in Brazil?

Foreign individuals and foreign companies can participate in Brazilian companies subject to the applicable ownership, registration, representation and compliance requirements. BrazilLaunch's standard formation workflow is designed around a Brazilian LTDA for eligible cases.

What the US$890 incorporation service covers

  • Initial eligibility and structure review for a standard case
  • Coordination of Brazilian LTDA incorporation
  • CNPJ registration coordination
  • Corporate-document preparation and filing coordination
  • Initial tax-registration setup coordination
  • Banking onboarding support

Sworn translation is separate because the final cost depends on the length and volume of documents requiring translation. Government fees, apostilles/legalization and extraordinary professional work may also be separate.

Documents typically requested after payment

Individual shareholders are generally asked for passport, proof of residential address and foreign tax-identification information. Foreign corporate shareholders are generally asked for incorporation/registry evidence, constitutional documents, ownership information, directors/signatories information and beneficial-owner identification. We ask clients to send scans first so we can confirm which documents actually require apostille/legalization or Brazilian sworn translation.

How long does it take?

Timing varies with the proposed activity, ownership structure, document quality, apostille/legalization needs, public registries, tax registrations and third-party reviews. BrazilLaunch does not promise a fixed government-processing time, but the workflow is designed to minimize avoidable back-and-forth.
